1. Acceptance of Terms
By accessing or using ServiceRig ("the Service", "the Platform"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Service.
2. Description of Service
ServiceRig provides cloud-based field service management software including job scheduling, customer management, estimates, invoices, payment processing, AI-powered features (estimate generation, AI phone receptionist, content creation), SMS and voice communications, and related business management tools for contractors in the plumbing, HVAC, electrical, and other trades.
3. Account Registration
To use ServiceRig, you must:
- Provide accurate, current, and complete information during registration
- Maintain and update your information to keep it accurate
- Be at least 18 years of age
- Be authorized to enter into binding contracts
- Maintain the security of your account credentials
- Accept responsibility for all activity under your account
4. Pricing and Payments
ServiceRig uses slot-based pricing. A “User Slot” represents one active user login. Every User Slot provides full access to all platform features regardless of the user’s assigned role. The number of included User Slots varies by plan as described below.
Free Forever Plan
- Monthly Subscription: $0
- Platform Fee: 6% on all payments (both Stripe and manual)
- User Slots: 5 included, additional slots at +0.45% platform fee per slot
- Card Requirement: Valid payment card on file required
- Fee Collection: Platform fees for Stripe payments are automatically deducted. Fees for manual payments (cash/check) are charged to your card on file.
Business Essentials Plan
- Monthly Subscription: $1,100/month
- Platform Fee: 3% on Stripe payments only
- Manual Payments: No platform fee on cash/check
- User Slots: 10 included
- Additional Slots: $140/slot/month
Max Leverage Plan
- Monthly Subscription: $2,700/month
- Platform Fee: 2.5% on Stripe payments only (lowest available)
- Manual Payments: No platform fee on cash/check
- User Slots: 15 included
- Additional Slots: $50/slot/month
All prices are in USD. Subscription fees are billed in advance. Platform fees are calculated on the gross transaction amount before any refunds or chargebacks. Stripe processing fees (separate from platform fees) are standard Stripe rates. Pricing is subject to change with 30 days’ notice.
5. Free Forever Specific Terms
5.1 Payment Obligations
Platform fees are due upon transaction completion. For Stripe payments, fees are automatically deducted. For manual payments (cash, check, etc.), the 6% platform fee is charged to your card on file within 24 hours of recording the payment.
5.2 Account Lockdown
If any charge to your card on file is declined:
- Your account will be immediately locked to the billing section only
- You will not be able to access any other features until payment is received
- You will receive email and SMS notifications about the failed payment
- After 30 days of non-payment, your account may be suspended
- After 90 days of non-payment, your account and data may be deleted
5.3 Data Management Restrictions
To maintain audit integrity and prevent abuse, Free Forever accounts have the following restrictions:
- Jobs: Cannot be deleted (can be cancelled only)
- Estimates: Cannot be deleted
- Invoices: Cannot be deleted
- Customers: Cannot be deleted (can be archived only)
- Payments: Cannot be deleted or modified
Upgrade to Business Essentials or Max Leverage to remove these restrictions.
5.4 No Data Export
Free Forever accounts do not include data export functionality. You can view and use your data within the platform, but cannot export it. To export your data, upgrade to a paid plan and maintain 14 consecutive months of subscription.
6. Paid Plan Specific Terms
6.1 Data Export
Data export is available on Business Essentials and Max Leverage plans after:
- 14 consecutive months of paid subscription
- If your subscription lapses or downgrades to Free Forever, the 14-month counter resets
- You must be current on all payments
- Export requires accepting a chargeback waiver agreement
- Export processing takes up to 30 days
6.2 Cancellation and Refunds
Monthly Plans:
- Cancel anytime through your account settings
- Cancellation takes effect at the end of your current billing period
- No refunds for partial months
- Access continues until the end of the paid period
Annual Plans:
- Prepaid for 12 months, non-refundable
- Can cancel to prevent auto-renewal
- Access continues for the full prepaid period
- After 12 months, you choose whether to renew
6.3 Upgrades and Downgrades
- Upgrades take effect immediately with prorated charges
- Downgrades take effect at the end of the current billing period
- Downgrading from paid to Free Forever resets the 14-month data export counter
7. SMS and Voice Communications
7.1 Communications on Your Behalf
ServiceRig sends transactional SMS messages and handles voice calls on your behalf to your customers. By using the Platform’s communication features, you represent and warrant that:
- You have obtained appropriate consent from your customers to receive SMS messages and phone calls
- Your customers have voluntarily provided their phone numbers during service booking, appointment scheduling, or account creation
- You will not use ServiceRig’s communication features to send unsolicited marketing messages, spam, or messages to individuals who have not consented
7.2 AI Phone Receptionist
ServiceRig provides an AI-powered phone receptionist that answers inbound calls on your behalf. You acknowledge and agree that:
- The AI receptionist is an assistive tool, not a replacement for professional judgment
- Calls may be recorded and transcribed for quality assurance and service improvement
- You are responsible for reviewing AI-handled interactions and correcting any errors
- The AI receptionist may not handle all customer situations appropriately and some calls may require human follow-up
- ServiceRig is not liable for any business decisions made based on AI receptionist interactions
- You will inform your customers that calls may be answered by an automated system when required by applicable law
7.3 Compliance
You are responsible for complying with all applicable laws and regulations regarding SMS and voice communications, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any applicable state regulations. ServiceRig provides tools to manage opt-in and opt-out compliance, but ultimate compliance responsibility rests with you.
7.4 Customer Opt-Out
Your customers may opt out of SMS messages at any time by replying STOP to any message. You agree not to send messages to customers who have opted out. ServiceRig will process opt-out requests automatically, but you are responsible for honoring opt-out requests received through any channel.
8. Prohibited Activities
You may not:
- Record false or fraudulent transactions to avoid platform fees
- Use the Platform for illegal purposes
- Share account credentials with unauthorized users
- Attempt to circumvent platform fees through any means
- Reverse engineer, decompile, or disassemble the Platform
- Use automated tools to scrape or extract data
- Attempt unauthorized access to other accounts or systems
- Upload viruses, malware, or malicious code
- Resell or sublicense access to ServiceRig
- Use the Platform in a way that could harm its operation or other users
- Use the communication features to send spam, unsolicited messages, or messages in violation of applicable law
- Misrepresent your identity or the identity of your business through the Platform’s communication features
9. Account Termination
9.1 Termination by You
You may cancel your account at any time through account settings. Upon cancellation:
- Access continues until the end of your paid period (or immediately for Free Forever)
- You have 30 days to pay outstanding fees and upgrade to export data
- After 30 days, your data may be permanently deleted
- Financial records are retained for 7 years (legal requirement)
- Your phone number(s) and associated communication services will be deactivated
9.2 Termination by ServiceRig
We may suspend or terminate accounts that:
- Violate these Terms of Service
- Exhibit patterns of fee avoidance or fraud
- Have excessive failed payments or chargebacks
- Are used for illegal purposes
- Use communication features in violation of applicable law or carrier policies
- Pose a security risk to the Platform or other users
- Are inactive for over 12 months
Upon termination by ServiceRig, all outstanding fees become immediately due. You will have 30 days to pay fees and export data (if on an eligible paid plan).
10. Intellectual Property
10.1 ServiceRig Intellectual Property
ServiceRig and its content (including software, text, images, designs, logos, trademarks) are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without written permission.
10.2 Your Data
You retain ownership of all business data you enter into ServiceRig (customers, jobs, estimates, etc.). You grant ServiceRig a license to use this data solely to provide the Service and improve the Platform through anonymized and aggregated analytics.
11. Third-Party Services
ServiceRig integrates with third-party services to provide its functionality. These include but are not limited to:
- Stripe — Payment processing
- Telnyx — SMS, voice, and AI-powered phone services
- Google Cloud Platform / Firebase — Hosting and infrastructure
- Anthropic — AI services
- Resend — Email delivery
Your use of these third-party services is subject to their respective terms of service and privacy policies. ServiceRig is not responsible for the availability, accuracy, or practices of third-party services.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability or fitness for a particular purpose
- Warranties of uninterrupted or error-free operation
- Warranties regarding accuracy or reliability of AI-generated content
- Warranties regarding the delivery or receipt of SMS messages or phone calls
- Warranties that the Service will meet your specific requirements
AI features, including the AI phone receptionist, are assistive tools. You are responsible for reviewing and approving all AI-generated estimates, communications, and content before relying on them for business decisions.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- ServiceRig’s total liability is limited to the amount you paid us in the past 12 months
- For Free Forever accounts, maximum liability is $100
- We are not liable for indirect, incidental, consequential, or punitive damages
- We are not liable for lost profits, revenue, data, or business opportunities
- We are not liable for the actions or omissions of third-party service providers (Stripe, Telnyx, etc.)
- We are not liable for undelivered or delayed SMS messages or phone calls
- We are not liable for actions taken by the AI receptionist on your behalf
- We are not liable for acts of God, internet failures, or force majeure events
14. Indemnification
You agree to indemnify and hold harmless ServiceRig LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your violation of applicable communications laws (TCPA, CAN-SPAM, etc.)
- Content you submit to the Platform
- Disputes with your customers
- Actions taken by the AI receptionist on your behalf
15. Dispute Resolution
15.1 Informal Resolution
Before filing a claim, you agree to contact us at legal@servicerig.io to attempt to resolve the dispute informally.
15.2 Arbitration
Any disputes not resolved informally will be settled by binding arbitration in accordance with the American Arbitration Association’s rules. Arbitration will be conducted in Austin, Texas. You waive the right to a jury trial and class action lawsuits.
16. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you may cancel your account.
17. Miscellaneous
17.1 Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
17.2 Entire Agreement
These Terms and our Privacy Policy constitute the entire agreement between you and ServiceRig regarding the Service.
17.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
17.4 Assignment
You may not assign or transfer these Terms without our written consent. We may assign these Terms to any affiliate or in connection with a merger or sale of assets.
